Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Rendum, Inc. ("Rendum," "we," "us," or "our") governing your access to and use of the Rendum billing automation platform, including any associated APIs, documentation, and support services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

Rendum provides a cloud-based billing automation platform designed for Medicare Advantage supplemental benefit vendors. The Service includes eligibility file ingestion, data normalization, billable-day calculation, invoice generation, and related reporting and analytics capabilities.

The Service is provided on a subscription basis as described in the pricing plan selected by Customer. Rendum reserves the right to modify, update, or discontinue features of the Service with reasonable notice.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Rendum of any unauthorized use of your account.

Rendum reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription and Payment

4.1 Fees. Customer agrees to pay the subscription fees associated with the selected pricing plan. Fees are billed in advance on a monthly or annual basis as selected at the time of purchase.

4.2 Payment Terms. Monthly subscriptions are charged on the same day each month. Annual subscriptions are charged at the beginning of each annual period. All fees are non-refundable except as expressly stated in these Terms.

4.3 Price Changes. Rendum may change subscription fees with 30 days' written notice. Fee changes take effect at the start of the next billing period after notice.

4.4 Taxes. Fees do not include applicable taxes. Customer is responsible for all taxes, duties, and levies imposed by taxing authorities, excluding taxes based on Rendum's income.

5. Customer Data

5.1 Ownership. Customer retains all rights, title, and interest in Customer Data uploaded to or processed by the Service. Rendum does not claim ownership of Customer Data.

5.2 License. Customer grants Rendum a limited, non-exclusive license to use, process, and store Customer Data solely for the purpose of providing the Service.

5.3 Protected Health Information. To the extent Customer Data includes Protected Health Information ("PHI") as defined by HIPAA, the parties shall enter into a Business Associate Agreement ("BAA") that governs the handling of PHI. In the event of a conflict between these Terms and the BAA regarding PHI, the BAA shall control.

5.4 Data Security. Rendum implements commercially reasonable administrative, technical, and physical safeguards to protect Customer Data, including AES-256 encryption at rest and TLS 1.2+ encryption in transit.

6. Acceptable Use

Customer agrees not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or transfer access to the Service without written consent
  • Use the Service in a manner that exceeds reasonable usage or imposes undue load

7. Service Level Agreement

Rendum commits to the uptime SLA specified in the Customer's pricing plan (Starter: 99.5%, Professional: 99.9%, Enterprise: 99.99%). Uptime is measured on a monthly basis excluding scheduled maintenance windows (announced 48 hours in advance). If Rendum fails to meet the SLA, Customer may request service credits as described in our SLA Policy.

8. Intellectual Property

The Service, including all software, algorithms, documentation, interfaces, and content (excluding Customer Data), is the exclusive property of Rendum and is protected by intellectual property laws. Nothing in these Terms grants Customer any rights to Rendum's intellectual property except the limited right to use the Service as described herein.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENDUM'S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO RENDUM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL RENDUM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

10. Indemnification

Customer agrees to indemnify and hold harmless Rendum from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) Customer's use of the Service; (b) Customer's violation of these Terms; (c) Customer's violation of any applicable law or regulation; or (d) Customer Data.

11. Termination

Either party may terminate the subscription with 30 days' written notice. Rendum may suspend or terminate access immediately for material breach of these Terms. Upon termination, Customer's right to access the Service ceases. Rendum will make Customer Data available for export for 30 days after termination, after which it will be permanently deleted.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

Rendum may modify these Terms at any time with 30 days' notice via email or in-app notification. Continued use of the Service after the effective date of changes constitutes acceptance. Material changes to these Terms will not apply retroactively.
